About the Opportunity
Our client, a mid-sized Crown Corporation, has an immediate need for a Senior Legal Counsel to join their Legal Services Department.
Duties include but are not limited to:
- Advise on legislative and policy issues affecting the Client's Corporation, regulators and financial institutions. This involves interpreting relevant legislation and working with other corporations and federal government departments and agencies in the development of legislation, regulations and by-laws and the consideration of issues and potential risks relating to the Client's activities
- Advise on the core functions of the Client, including the resolution of financial institutions and the insurance and risk assessment functions. This involves, among other things, consideration of issues regarding the eligibility and payment of deposit insurance, and the implementation of the Client’s intervention powers and resolution options for member institutions. This includes independent research, drafting of commercial agreements, the provision of legal advice, memoranda and correspondence
- Support and advice in respect of any other activities of the Corporation requiring assistance from the Legal Services team, including application/administration of the Access to Information Act, the Privacy Act, intellectual property matters, corporate communications and public affairs matters, and contracting
The successful candidate will have the following:
- Member in good standing of a provincial law society or bar
- Minimum of 5 years’ experience, working in corporate/commercial law and/or litigation (in private practice, as in-house counsel or in a legal role with a government entity), preferably involving financial institutions
- Detailed knowledge and experience of banking, securities, corporate bankruptcies, receivership, insolvency, wind-ups, liquidations, and/or restructuring are considered
- Detailed knowledge and experience with corporate re-financings, recapitalizations, bridge loans, equity issuances/subscriptions, and distressed M&A transactions are considered
- Attention to detail and mature judgment
- Ability to work in stressful situations and within tight timeframes
- Ability to work autonomously
- Excellent interpersonal skills and ability to work as part of a team
- Excellent oral and written communications skills, including the ability to synthesize information and explain complex concepts
- Excellent time management skills
- Excellent critical thinking skills
- Bilingualism would be ab asset but not required
