About the Opportunity
Our client is a mid-sized law firm located in downtown Ottawa. There is an immediate need for 2 experienced corporate law clerks to join their business law group on a full-time, permanent basis.
Duties include but are not limited to:
- Assisting with the preparation of corporate and closing documents for financings and acquisitions
- Assisting with the preparation of documents for general corporate matters including incorporations, amendments, dissolutions and other reorganizations
- Maintaining and updating corporate minute books, as well as conducting minute book reviews
- Maintaining and updating lists of active and inactive companies
- Assisting with conducting corporate due diligence
- Assisting with extra-provincial, business name, partnership and other registrations
- Performing corporate and PPSA searches and filings
The successful candidate will have the following:
- Law Clerk Diploma/Certificate
- A minimum of three years experience
- Understanding and familiarity of corporate statutes (OBCA, CBCA, not-for-profit, non-share capital corporate statutes (Federal and Ontario)) and other applicable policies and procedures
- Excellent writing skills required to draft documents, reports and correspondence
- Strong organizational skills and ability to effectively manage conflicting documents
